We are a newly incorporated Cayman Islands exempted company incorporated for the purpose of effecting a merger, amalgamation, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses, which we refer to throughout this prospectus as our initial business combination. To date, our efforts have been limited to incorporation and organizational activities and activities related to this offering. We have not identified or selected any business combination target and we have not, nor has anyone on our behalf, initiated any substantive discussions, directly or indirectly, formal or otherwise, with any business combination target. While we may pursue a business combination target in any business or industry and across any geographical region, we intend to focus our search on mobility-related technology businesses.
